Terms of Service

By engaging Cipherus LLC ("Cipherus", "we", "our"), the client ("Client", "you") agrees to the following Terms of Service.
01 · Services
Cipherus provides custom software development and consulting services including but not limited to:
- Website design and development
- Campaign landing pages and industry vertical landers
- Data dashboards and analytics tools
- API integrations and product surfaces
- Blockchain and Web3 applications
- Infrastructure setup, hosting, and deployment
- Technical consulting and ongoing studio care
Cipherus may perform work internally or through trusted third-party developers or contractors when necessary.
02 · Client Account
Each client engagement is managed under a Client Account.
A Client Account may include:
- multiple projects
- multiple invoices or subscription periods
- hosting or infrastructure services
- consulting or development work
All financial obligations across projects are associated with the Client Account.
Cipherus may consider an account not in good standing if any invoice or subscription payment remains unpaid beyond its due date.
03 · Payments & Billing Models
Cipherus offers two primary billing structures. Specific fees and scope for any engagement are defined in a written quote or invoice accepted by the Client.
1. Monthly partnership (default)
- A one-time setup fee to design and build the agreed scope
- A recurring monthly fee covering edits, hosting care, and studio availability
- 3-month minimum commitment from the partnership start date, then month-to-month
- Monthly fees billed on the anniversary of the partnership start date
- Standard tiers as published on cipherus.io: Sprint ($99/mo + $499 setup), Studio ($299/mo + $1,499 setup), Pro ($599/mo + $2,999 setup), Enterprise by quote
2. Upfront project purchase
- 50% of the agreed price is required to begin work
- 50% is due upon project completion, prior to final delivery
- Standard upfront tiers as published on cipherus.io: Sprint ($1,499), Studio ($3,999), Pro ($7,999), Enterprise by quote
- Ongoing care may be added as a separate monthly retainer if desired
Invoices are considered accepted when the Client pays the invoice, confirms it in writing, or allows work to begin. Setup fees and deposits on custom work are non-refundable once design or development has commenced, unless otherwise agreed in writing. Published prices may change for new engagements; existing partnerships remain at the price agreed at the start of their term.
Accepted methods: bank wire, card, and select cryptocurrencies (including BTC, ETH, SOL, USDC, USDT, PLS). Fees, taxes, and processor costs are the Client's responsibility where applicable.
04 · Late Payments & Account Enforcement
Invoices or subscription payments not paid within the stated terms may result in the Client Account being placed out of good standing.
If an account is not in good standing, Cipherus reserves the right to:
- pause development work or monthly edit hours
- delay delivery of completed work
- suspend hosted services or infrastructure
- restrict access to applications or dashboards
- terminate services associated with the Client Account
These actions may apply across all projects under the Client Account, regardless of which invoice remains unpaid.
05 · Infrastructure & Hosting Management
If Cipherus manages infrastructure on behalf of the Client (including hosting, databases, email services, APIs, or analytics platforms), such systems may remain under Cipherus operational control until the Client Account is paid in full.
Cipherus may temporarily suspend access to managed infrastructure if the Client Account becomes delinquent.
Cipherus will not intentionally destroy Client data during suspension periods but may restrict access until the account is resolved.
06 · Client Responsibilities & Communication
Clients are expected to maintain reasonable communication during project development and active partnerships.
Failure to respond to messages, attend scheduled meetings, or provide required feedback or materials may result in project delays or suspension.
If the Client becomes unresponsive for more than 7 business days, Cipherus may place the project on hold or reallocate development resources.
07 · Project Scope & Revisions
Each project is defined by a mutually agreed scope.
Additional features or major revisions outside the original scope may require additional charges or a plan upgrade.
Cipherus will notify the Client before proceeding with out-of-scope work.
08 · Ownership & Delivery
Ownership of final deliverables transfers to the Client only after the Client Account is paid in full for the applicable project or billing period.
Until payment is complete, Cipherus retains operational control over:
- deployed applications
- infrastructure and hosting environments
- development repositories
- administrative credentials
Cipherus retains the right to showcase completed work in its portfolio.
09 · Intellectual Property & Licensing
Subject to full payment, the Client receives a non-exclusive, non-transferable, perpetual license to use the final delivered website, application, and assets prepared specifically for the Client's engagement ("Deliverables") for their own internal and commercial purposes on the agreed deployment domain.
Cipherus retains ownership of, and reserves all rights to, the underlying tools, libraries, design systems, internal frameworks, build pipelines, motion utilities, process templates, and any pre-existing or general-purpose components used to produce the Deliverables (collectively, "Studio IP"). The license granted to the Client does not transfer ownership of any Studio IP.
Unless a separate written license is executed by Cipherus, the Client and any party acting on the Client's behalf may not:
- resell, sublicense, white-label, or redistribute the Deliverables or Studio IP
- use the Deliverables or Studio IP to build, ship, or operate a competing product, site template, theme, or agency offering
- extract, fork, or repurpose the Deliverables or any portion of the Studio IP for use on a domain or property unrelated to the original engagement
- transfer or assign the license to a successor, parent, subsidiary, acquirer, or unrelated third party without Cipherus's prior written consent
Cipherus may, at its discretion and on written request, grant an expanded license (including transfer, white-label, or template rights) for an additional, separately negotiated fee.
The Client warrants that all materials they supply (logos, copy, imagery, data) are owned or properly licensed by them, and indemnifies Cipherus against any third-party claim arising from those materials.
10 · Brand, Identity & Anti-Impersonation
The name "Cipherus", the ">_" mark, the Cipherus wordmark, the studio color system, the section / IA structure of cipherus.io, and any associated trade dress (collectively, "Cipherus Brand") are owned by Cipherus LLC and are not part of any Deliverable.
No party may, without prior written permission from Cipherus:
- use the Cipherus Brand in any way that would suggest affiliation, endorsement, or partnership where none exists
- adopt or copy the Cipherus Brand, name, mark, wordmark, or trade dress (including the studio palette and identifying layout cues) for another studio, agency, freelance practice, software product, or marketing site
- register or operate a domain, social handle, or business name that is confusingly similar to "Cipherus" or its derivatives
- represent themselves as Cipherus, a Cipherus employee, partner, reseller, or authorized agent
Cipherus reserves the right to pursue all available remedies — including takedown requests, platform reports, and legal action — to address impersonation, brand misuse, or unauthorized reproduction of its identity. Past clients may publicly reference working with Cipherus and link to cipherus.io.
11 · Third-Party Services
Projects may depend on third-party services including:
- hosting providers
- API providers
- blockchain networks
- payment processors
The Client is responsible for any associated subscription or usage fees unless otherwise agreed. Cipherus is not liable for outages or failures of third-party services.
12 · Web3 / Blockchain Disclaimer
For blockchain or Web3 related projects, Cipherus assumes no liability for:
- smart contract vulnerabilities
- exploits or hacks
- financial losses from protocol usage
Security audits are the Client's responsibility unless explicitly included in project scope.
13 · Limitation of Liability
Cipherus is not responsible for:
- third-party service outages
- hosting provider downtime
- network or blockchain disruptions
- misuse of delivered software
Maximum liability for any claim shall not exceed the total amount paid to Cipherus by the Client during the previous 12 months.
14 · Right to Refuse or Terminate Service
Cipherus reserves the right to decline or terminate services for any reason including illegal or fraudulent activities, harassment, bad-faith negotiations, or failure to maintain account payment obligations.
In such cases, the Client will be billed for all work completed up to the termination date.
15 · Confidentiality
Cipherus agrees to keep client data and project information confidential.
Clients agree not to disclose Cipherus internal processes, tools, pricing structures, or proprietary methods for a period of three (3) years following project completion.
16 · Agreement
By engaging Cipherus services, starting a monthly partnership, or paying an invoice issued by Cipherus, the Client acknowledges and agrees to these Terms of Service.
