By engaging Cipherus LLC ("Cipherus", "we", "our"), the client ("Client", "you") agrees to the following Terms of Service.
Cipherus provides custom software development and consulting services including but not limited to:
Cipherus may perform work internally or through trusted third-party developers or contractors when necessary.
Each client engagement is managed under a Client Account.
A Client Account may include:
All financial obligations across projects are associated with the Client Account.
Cipherus may consider an account not in good standing if any invoice issued to the Client remains unpaid beyond its due date.
Unless otherwise agreed in writing:
Invoices may include alternate payment structures depending on project scope.
Invoices are considered accepted when:
All payments are final. Deposits are non-refundable.
Invoices not paid within the stated payment terms may result in the Client Account being placed out of good standing.
If an account is not in good standing, Cipherus reserves the right to:
These actions may apply across all projects under the Client Account, regardless of which invoice remains unpaid.
Cipherus may issue formal notices before service suspension but is not obligated to do so.
If Cipherus manages infrastructure on behalf of the Client (including but not limited to hosting, databases, email services, APIs, or analytics platforms), such systems may remain under Cipherus operational control until the Client Account is paid in full.
Cipherus may temporarily suspend access to managed infrastructure if the Client Account becomes delinquent.
Cipherus will not intentionally destroy Client data during suspension periods but may restrict access until the account is resolved.
Clients are expected to maintain reasonable communication during project development.
Failure to:
may result in project delays or suspension.
If the Client becomes unresponsive for more than 7 business days, Cipherus may place the project on hold or reallocate development resources.
Each project is defined by a mutually agreed scope.
Additional features or major revisions outside the original scope may require additional charges.
Cipherus will notify the Client before proceeding with out-of-scope work.
Ownership of final deliverables transfers to the Client only after the Client Account is paid in full.
Until payment is complete, Cipherus retains operational control over:
Cipherus retains the right to showcase completed work in its portfolio.
Custom-built tools, frameworks, or development components created by Cipherus may remain Cipherus intellectual property unless otherwise agreed in writing.
Clients receive a license to use delivered code and assets once payment obligations are satisfied.
Projects may depend on third-party services including but not limited to:
The Client is responsible for any associated subscription or usage fees unless otherwise agreed.
Cipherus is not liable for outages or failures of third-party services.
For blockchain or Web3 related projects:
Cipherus assumes no liability for:
Security audits are the Client's responsibility unless explicitly included in project scope.
Cipherus is not responsible for:
Maximum liability for any claim shall not exceed the total amount paid to Cipherus by the Client during the previous 12 months.
Cipherus reserves the right to decline or terminate services for any reason including but not limited to:
In such cases, the Client will be billed for all work completed up to the termination date.
Cipherus agrees to keep client data and project information confidential.
Clients agree not to disclose Cipherus internal processes, tools, pricing structures, or proprietary methods for a period of three (3) years following project completion.
By engaging Cipherus services or paying an invoice issued by Cipherus, the Client acknowledges and agrees to these Terms of Service.
